Terms of use

ProHelp (hereinafter also SIA “EDART” or “we”) provides an Website for Freelancers in various specialties, as well as for potential Customers who need the services offered by Freelancers. The term “service” includes the use of the Website, in order to select the offer for the performance of work, but does not include the work of the particular freelancer.

By using the ProHelp Website, the User agrees to all the Terms of Use stated in this document. In the event that the User does not agree to any provision of the Terms of Use, the User is not entitled to use this website.

Read these terms before registering and pressing the "I agree" confirmation button.

By clicking the “I agree” confirmation button, you confirm that you agree to all the provisions of the terms of use of the Website and become a party to the transaction—you agree to implement and fulfil the obligations and responsibilities set forth in these terms, being granted the rights and opportunity to use the service offered by the Website.

All issues arising from the subject matter of these terms and mutual obligations are subject to the laws and regulations of the Republic of Latvia and the jurisdiction of the courts of the Republic of Latvia.

We trust that any request for the freelancer’s work made by the User is true and related to the performance of the desired task and attraction of the selected freelancer for the performance thereof, without misleading freelancers. Regardless of any other legal remedies available to us, in the case if it is established that the work performance orders of the User mislead the freelancers, SIA “EDART” shall reserve the right to contact the User, as well as afterwards, even without making contact, to delete the profile of the User from the Website, thus prohibiting the use of the service of the Website.

SIA “EDART” has an undisputable right to waive any liability in relation to the legal consequences of the performance of works, which applies to the mutual obligations and legal relations of the User and the freelancer. Besides, SIA “EDART” reserves the right to restrict or even terminate the access of any User to the Website at its discretion, without prior warning.

1. 1.In order to become a User, must create his/her personal User profile (hereinafter also “profile”), by first getting acquainted with and then accepting the this terms.
2. 2.The User can access the System via authorisation, while a new System User may register his or her User’s profile (own account) in the System.
3. 3.The User may be a natural person who has attained the age of 18 and is capable of acting or legal person, or any foundation, having the right and commercial interest to receive the service for use of the Website offered by the System. Legal persons perform the User's activities via duly authorised persons.
4. 4.One User can only have one profile. When registering the profile, the User only provides accurate User data.
5. 5.The User is prohibited from disclosing his/her profile authorisation data (e-mail address and password) to third parties (except for legal entity trustees).
6. 6.The User has the right to ask the System Administrator questions about the use of the System by using the e-mail address specified in the User’s profile for communication and by sending a question to the System Administrator’s e-mail at info@prohelp.lv.

By registering on the Website and using its service, you represent, guarantee, and agree to provide or comply with the following terms:

1. 1.Your User’s profile contains true data;
2. 2.You are independently responsible for storage of the login data of the User’s profile (username and password); SIA “EDART” shall not be responsible for unauthorised activities of third persons with the User’s profile due to improper compliance with this rule;
3. 3.Your User profile does not contain information that violates the copyrights of any other persons, that conflicts with the regulatory enactments being in force, or could be assessed as affecting the rights of the user of your offer or any other third person, such as, offensive, defamatory, threatening, including racial hate speech etc. information;
4. 4.As a natural person, who is a User of the Website, you attest that you are at least 18 years old and are entitled to independently assume the obligations set forth in these Terms and assume obligations to establish legal relations with freelancers;
5. 5.If you register as a legal person, you confirm that any person that registers and performs manipulations in the User’s profile has the relevant authorisation of the legal person that SIA “EDART” does not need to check;
6. 6.The purpose of registering and creating the User’s profile is not related to criminal activities prohibited by the law;
7. 7.You are aware of the fact that you and the freelancer of the works to be performed shall be individually responsible for all possible taxes or duties that may be applied during the course of the performance of work tasks; SIA “EDART” shall not assume such obligation;
8. 8.When giving feedback, you are prohibited to violate the reputation of the freelancer, make any abusive statements;
9. 9.By using the Website, you are not acting as an intermediary for profit for another potential user of the Website;
10. 10.When using the Website, without special permission of SIA “EDART”, you refrain from posting the materials that are of an advertising nature and meaning that are not related to the Website.
11. 11.You undertake to indemnify SIA “EDART” and, at the request of SIA “EDART”, protect its interests against any losses or claims arising from violations of the above statements and guarantees of SIA “EDART” (or its officers or employees), as well as any other breach of your obligations under these Terms.

1. 1.Only a registered User shall have a possibility to prepare a work task and have access to the list of potential freelancers, contact information of the freelancer and other specified information.
2. 2.When using the online service of the Website, the User shall prepare the work task in the menu “Tasks”, thus acquiring a generated list of potential freelancers and the possibility to select the preferred freelancer.
3. 3.Before choosing the freelancer, the User may independently assess the offered price for the performance of works, or other terms of the freelancer and provided information.
4. 4.The performance of work tasks and payment shall be made during independent communication and agreement between the User and the selected particular freelancer.
5. 5.After the performance of the work task, the User may submit feedback on the performance of the particular task and the particular freelancer.
6. 6.Regardless of the selection of freelancers implemented by SIA “EDART”, processing of information acquired from freelancers and certifications of freelancers, the Web site cannot guarantee that information on freelancers and their offers is absolutely true. The User shall bear independent responsibility for the reasonable, and in certain cases, critical assessment of freelancers, including by using the information provided by the service of the Site.

1. 1.SIA “EDART” offers Freelancers the possibility to use the Website system, which offers to register and manage their Freelancers profile in order to offer their professional services.
2. 2.The term “service” means the commercial interest of the Freelancer to perform the work task that the Freelancer can receive if any of the users registered with the Website (customers of work tasks) selects the work of the Freelancer. The term “service” includes the use of the Website in order to provide the possibility for its users to choose the offer of Freelancers, but does not include the work of the particular Freelancer as well as does not guarantee orders of work tasks for the Freelancer.
3. 3.The term “Freelancer’s offer” means the type of service that the particular Freelancer can provide, according to his or her knowledge, skills and abilities.
4. 4.The Freelancer’s offer must be genuine, offering only services that can be realistically performed without misleading the Website's users. In the case if it is established that the Freelancer’s offers mislead the users of the Website, SIA “EDART” shall reserve the right to contact the Freelancer, as well as afterwards or even without making contact, to delete the profile of the Freelancer from the Website, thus prohibiting use of the service of the Website.
5. 5.SIA “EDART” has an indisputable right to waive any liability in relation to the legal consequences of the performance of works of Freelancers, which applies to mutual obligations and legal relations of the user of the Website (customer of the work task) and the Freelancer.
6. 6.By registering on the Website and using its service, you represent and agree to provide or comply with the following terms:
   1. 6.1.Your Freelancer’s profile contains true data;
   2. 6.2.You are independently responsible for the storage of the login data of the Freelancer’s profile (user name and password); SIA “EDART” shall not be responsible for unauthorised activities of third persons with the Freelancer’s profile due to improper compliance with this rule;
   3. 6.3.The purpose of your registration and creation of the Freelancer’s profile is not related to criminal activities prohibited by the law;
   4. 6.4.Your Freelancer profile and offer does not contain information violating copyrights of any other persons;
   5. 6.5.If you register as a legal person, you confirm that any person that registers and performs manipulations in the Freelancer’s profile or is involved in the performance of the work task has the relevant authorisation of the legal person that SIA “EDART” does not need to check;
   6. 6.6.As a natural person, who is a Freelancer of the Website, you attest that you are at least 18 years old and are entitled to independently assume the obligations set forth in these Terms and to execute your offer;
   7. 6.7.You confirm that you have legal, commercial or any other civil rights to make your proposal, to receive the work task and receive payment for the performance of the work task;
   8. 6.8.You guarantee that your Freelancer profile, offer and work performance will not contain any circumstances or information that conflicts with regulatory enactments being in force, or that could be assessed as affecting the rights of the user of your offer or any other third person, such as (but not limited to) offensive, defamatory, threatening, including racial hate speech etc. Information or activity;
   9. 6.9.By using the Website, you are not acting as an intermediary for profit for another potential Freelancer of the Website;
   10. 6.10.When using the Website, without special permission of SIA “EDART”, you refrain from posting the materials that are of an advertising nature and meaning that are not related to the Website.
   11. 6.11.You undertake to indemnify SIA “EDART” and, at the request of SIA “EDART”, protect its interests against any losses or claims arising from violations of the above statements and guarantees of SIA “EDART” (or its officers or employees), as well as any other breach of your obligations under these Terms.
7. 7.The Website can not guarantee absolutely true information about the users and their requests. SIA “EDART” shall not be responsible for loss of time or material resources due to the inaccuracy of such information or as a result of a misleading assessment of the content of the information on the Freelancer. Freelancer shall independently ascertain the real intention of the user performing the work and the ability to pay for the performance of works.
8. 8.When registering the Freelancer’s profile with a purpose to use the service of the Website, you agree to pay the subscription fee, in accordance with the price list indicated on the Website. Consent to the subscription fee includes the right of SIA “EDART” to withhold it once per month from the account of the credit institution specified by the User. The subscription fee on the price list is specified, excluding value added tax.
9. 9.The subscription fee shall be determined in Euro currency for one Freelancer’s profile, in accordance with the amount set forth on the price list. In the subscription fee system, we only store the data on the fact of payment, the amount paid, and the identifier of the payment transaction. We shall announce changes to the price list on the Website, and the changes shall enter into force on the date of renewal of the subscription of the month after the next month after the relevant day of notification.
10. 10.You agree and authorise SIA “EDART” to charge your credit institution account in favour of SIA “EDART” as the subscription fee for the use of the Website, including the fee provided on the price list for use of the Website and Indemnification for losses incurred by us due to a breach of these terms and conditions by the Freelancer or the use of the Website.
11. 11.If the Freelancer, at his/her own initiative, terminates the use of the Website for any reason during the reporting month, or ceases to use it for a long period of time or temporarily, we are not obliged, and the Freelancer has no right to reclaim the paid subscription fee. This rule shall also apply in cases when we close the Freelancer’s profile due to violations committed by the Freelancer or due to extremely negative and credible feedback.
12. 12.The Freelancer agrees and is aware that the subscription fee shall not guarantee the selection of the Freelancer’s offers, and the refusal of the users of the Website to select the Freelancer’s offer shall not serve as a basis for reclaiming the subscription fee paid.
13. 13.The Freelancer and the customer of the work tasks (user of the Website) shall be individually responsible for all possible taxes or duties that may be applied during the course of the performance of work tasks.
14. 14.After the selection of the Freelancer’s offer, further performance of the work task and payment takes place via individual correspondence and agreement between the Freelancer and the user of the Website that has chosen the Freelancer’s offer.
15. 15.The Contractor shall be entitled, but SIA “EDART” has the right to temporarily suspend the operation of the Freelancer’s profile, without deleting the Freelancer’s profile on the Website, for example, due to suspension of the subscription fee or due to suspension of the professional activity of the Freelancer.
16. 16.The Freelancer can not independently delete the profile, but he or she is entitled to request to delete the Freelancer’s profile. SIA “EDART” deletes the Freelancer’s profile without delay, unless there is any legal condition for postponing the deletion of the Freelancer’s profile and suspending the activity of the profile, such as a debt of the subscription fee, notice on the Website on any active, but not performed work task.
17. 17.By registering the Freelancer’s profile, payment of the subscription fee and acquiring the right to place your offer on the Website, you do not acquire any right to the intellectual property owned by SIA “EDART” (trademark, logotype, design of the Website etc.). Any use of our intellectual property requires our prior written agreement.

1. 1.Neither the User, nor Freelancer, nor SIA “EDART” shall be liable for any failure to perform any of its obligations due to reasons beyond the reasonable control of these persons (force majeure).
2. 2.SIA “EDART” shall not be liable for any losses with the use of the Website or refusal to use the Website offered by SIA “EDART”, behaviour of freelancers or quality of the performed works, including the refusal to perform the works assigned, deletion of the User’s profile due to violations of the User, operation of the Web site or temporary disruption in operation, shortages in the content or technological capabilities of the Website, even if we have been informed in advance of the possibility of the occurrence of such losses.
3. 3.You agree to provide us with any authorisation that is reasonably necessary to represent your rights and legal interests in connection with orders or the proper performance of work tasks of the users on the Website.
4. 4.SIA “EDART” has the right to unilaterally withdraw and terminate these terms in relation to you by sending a written notice to the e-mail address provided in your User’s profile, if it finds that you have violated any of the representations, guarantees set forth in these terms, or any provision related to the use of the Website. Termination of the Terms shall not affect the rights and obligations of either party until the date of notification, but shall release one from any future obligations.
5. 5.Any condition arising from the regulation of these terms, as a result of which the User or SIA “EDART” acquires permanent rights or obligations, shall also remain in force after the termination of these terms at the initiative of SIA “EDART” in relation to the User, until the complete enforcement of these rights or obligations.
6. 6.SIA “EDART” reserves the right to amend these Terms at any time, and all amendments will take effect and will be binding on the User after the date of the amendment. SIA “EDART” undertakes to give notification of any changes in the Terms on the Website. The User shall be obliged to independently and constantly be aware of the current version of the Terms.
